Applicant Client Procedures for Setting up a Corporation

As part of the company formation process, it is also necessary for the parent organization in the home country to undertake certain steps. These are listed below and should be detailed to any prospective client.

1. If  a corporation is to perform the set up, it is necessary to obtain notarised documents including a Corporate Approval letter, s Certificate of Incorporation and s Statement of Directors and Shareholders. These must be shown to the Chinese Embassy in order for them to issue a Certificate of Accuracy. A template document which should be notarised is available here (download). If a personal investor is setting up a corporation– only a copy of their Passport is necessary. No notarised letter is required.

2. Letter from a Bank in suggested format (download) confirming the ability of the founders to make the intended level of investment and to confirm that the bank account holder is known as a customer and is of good standing.

Broadway then uses these documents to move forward with the necessary processes.

Broadway will obtain approval for the Chinese corporate name to be used and, if a name is not available for use, provide suggested alternatives.

Broadway will prepare all Chinese documentation and send it to the client for signature where appropriate or can alternatively be authorised to sign on the clients’ behalf.

These documents will include tax certification, company registration etc.
