Joint Venture (Equity or Contractual JV): Broadway can assist in locating an appropriate partner for a Joint Venture and arrange the legal framework under which such a venture can operate. Wholly Foreign Owned Enterprise (WFOE): In order to form a WFOE company within China, a number of processes have to be completed. Our aim is, in all cases, to procure the correct Governmental classification to allow up to 100% ownership by the foreign corporation wishing to establish a Chinese entity. To this end, Broadway will:

1. Assess your proposed business plan,

2. Select the appropriate government business category,

3. Draft a Chinese investment project proposal to ensure that the Company has 100% foreign ownership, if possible,

4. Registration and Certification of paid up share capital of $50K (minimum requirement of Chinese government for a foreign owned corporation). Note that this sum is included in Broadway’s fees. It is not an additional financial requirement. However, if a client wishes to take advantage of Government tax benefits and assistance, then an additional $110K needs to be paid up in share capital prior to gaining that status. These additional funds can be withdrawn by the client (or retained as working capital) after they have been invested and have been certified as being received by the client’s bank in China,

5. Supply both an official Registered and Virtual Office,

6. Obtain all necessary standard licenses for compliance with all laws of China which apply for that business category,

7. Assist in the setting up of Bank Accounts for international trade and free currency conversion,

8. Undertake all legal work, necessary documentation and accounting processes needed, to establish the correct status for the applicant company,

Costs for setting up a standard corporation - $55K

Initial payment is $5K office fee which includes the required registered office and is for 1 year’s pre-payment. The remaining $50K will be paid by agreed instalments over the period of incorporation.

Additional costs may apply for certain additional licenses which will be quoted for at the time of final proposal.
